Sheldon has experience working with clients in all areas of the business lifecycle, including formation, day-to-day operations, commercial contracts, mergers and acquisitions, succession planning, and dissolution and liquidation. Sheldon’s clients include middle-market private companies focusing in a variety of different industries as well as those in the nonprofit, government, and healthcare sector. Sheldon utilizes a hands-on and attentive approach with her clients as they evolve and navigate different transitionary periods of their businesses and organizations.

Corporate/M&A: Advises and represents clients in all stages of sales and acquisitions, startup companies and joint ventures with formation and general corporate law matters. Assists corporate clients with reorganization, restructuring, contract negotiation, and general corporate governance matters.
- Member of deal team advising manufacturing client in connection with $270MM merger with publicly traded company.
- Member of deal team advising plastics recycling & reprocessing company in connection with $25MM sale of carve-out division.
- Member of advisory team to textile client in sale transaction with two separate purchasers, including a publicly traded corporation based in the U.K.
- Member of deal advisory team to national onsite healthcare vendor’s sale to global venture capital firm.
Health Care: Represents large multi-specialty physician practices and single specialty physician house-based medical practices, includes negotiation of house-based physician service agreements and governance. Representation also includes advising physician practice groups in formation and organizational matters, commercial business transactions, which includes preparation and negotiation of contracts, and assistance with necessary transactional closing matters and post-closing transitional matters.
- Represented house-based physician practice group in consolidation rollup transaction including the negotiation of new house-based agreement with major hospital system.
- Represented physician practice groups in sale to common private equity-backed investor partner.
- Advised national onsite healthcare vendor in connection with sale to venture capital firm.
Local Government: Represents joint government agency in connection with contractual agreements and real estate issues.
Nonprofit Entities & Exempt Organizations: Addresses internal and affiliate governance matters, form and reorganize existing nonprofit tax-exempt schools, prepare and amend governance documents of member and nonmember nonprofits, and dissolve and liquidate nonprofit entities.
Manufacturing: Provides full service representation for manufacturing clients in the machinery, textile, plastics and material fabrication industries.
Real Estate: Represents healthcare, manufacturing and local government industry clients in the negotiation and preparation of purchase and sale contracts, commercial leases and related real estate documents, including the handling of real estate closings.
